This Image Licence Agreement (the “Agreement”) is made between ONLINE MONITORING LIMITED, incorporated and registered in England and Wales under company number 16144945 with its registered office at 43 Owston Road, Carcroft, Doncaster, United Kingdom, DN6 8DA (the “Supplier”), and any purchaser of image credits who downloads an Image from the Supplier’s website (the “Customer”).
By redeeming credits and downloading an Image, the Customer agrees to be bound by this Licence Agreement, subject always to the Supplier’s discretion to grant or withhold the licence.
1. DEFINITIONS

“Image” means a photographic, graphic, or other visual work made available for download on the Supplier’s website.

“Licence” means the limited rights granted by the Supplier to the Customer under this Agreement.

“Website” means the Supplier’s online platform through which Images are offered.
2. GRANT OF LICENCE
2.1 Upon downloading an Image and subject to the Supplier’s approval, the Supplier grants the Customer a non-exclusive, worldwide, perpetual licence to use the Image for commercial purposes, including marketing, advertising, promotional materials, publications, websites, social media, and similar business uses.
2.2 The Licence is granted at the discretion of the Supplier. The Supplier reserves the right to refuse or revoke a licence at any time where:

the Customer breaches the Terms of Service or this Agreement;

the Image is used in a manner contrary to law or damaging to the Supplier’s reputation;

the Supplier determines, in its sole discretion, that the use is inappropriate.
3. LICENCE RESTRICTIONS
The Customer shall not:

resell, sublicense, distribute, or make the Image available for download by others;

use the Image in any unlawful, defamatory, misleading, or fraudulent way;

use the Image in pornography, nudity-related services, escort services, adult entertainment, or other sexually explicit contexts;

use the Image in connection with hate speech, discrimination, political endorsements, or other sensitive subjects without the Supplier’s prior written approval;

claim ownership of the Image or register it as intellectual property.
4. INTELLECTUAL PROPERTY
All intellectual property rights in the Images remain with the Supplier or its contributors. The Customer receives only the rights expressly granted under this Licence Agreement.
5. TERMINATION
This Licence automatically terminates if the Customer breaches its terms. Upon termination, the Customer must immediately cease using the Image and, where possible, delete all copies.
6. WARRANTY DISCLAIMER
The Supplier provides the Images “as is” and makes no warranties, express or implied, regarding their suitability for any purpose.
7. LIMITATION OF LIABILITY
The Supplier’s liability in connection with this Licence shall not exceed the amount paid by the Customer for the Credits used to obtain the Image. The Supplier shall not be liable for indirect or consequential damages.
8. GOVERNING LAW AND JURISDICTION
This Agreement is governed by English law. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
